Job Description
The Company Secretary is not a Director but is a critical role for BASI. The Secretary exists to ensure that the Board continue to adhere to the Principles of Good Governance, however the diligence and conscientiousness they display in completing their own tasks forms a vital part of this adherence. The Secretary makes sure that the rhythm of governance is correctly done, that tasks are done when they need to be and that key elements are recorded and communicated in a timely manner.
Key Areas of Responsibility:
• Ensures that Board activities are openly and transparently communicated, i.e. by accurately capturing and publishing minutes of all meetings in a timely manner to the membership
• Ensures openness and transparency by maintaining and publishing up to date Directors’ biographies and relevant details of Board governance structures
• Creates, maintains and owns an annual calendar of meetings, calls and events for the Board which are communicated to all Board members & planned well in advance
• Creates and maintains a regular standing agenda for all Board meetings, ensuring that all documentation required is sourced well in advance and supplied to Directors with sufficient time so material can be read
• Ensures that all Board and Governance documentation is well managed and securely stored on BASI’s systems, in partnership with the Chief Executive
• Maintains Board level policies on critical governance topics such as Conflict of Interest, equality & diversity
• Ensures, through a robust onboarding process, that all Directors are well educated and informed about the Articles of Association, the Companies Act
• Ensures that all Directors fully understand their legal responsibilities, both individually and collectively, ensuring own knowledge is maintained also
• Ensures that the risk register of the organisation is up to date, maintained and reviewed as standing feature of all Board meetings
• Ensures that the Board Director recruitment & selection process runs smoothly and coordinates all internal and external parties throughout; ensures that the minimum gender representation ratio is in place as a result
• Ensures that the fixed-term limits of all Board level positions are adhered to
• Ensures that any Board sub-committees have specific terms of reference
• Manages the annual governance statement for the Association, i.e. the Annual Report, ensuring that all internal deadlines are met and that all contributions are submitted well in advance ahead of sign-off by the Chairman and subsequent publication
Essential Knowledge, Skills, Abilities
• Knowledge of the Companies Act
• Experience of overseeing statutory reporting requirements
• Able to organise and coordinate multiple groups & individuals to get things done on time
• Objectively minded, able to manage a process and respect the boundaries it sits within
• Digitally savvy and able to work with a changing set of technology systems
Desirable Knowledge, Skills, Abilities
• An interest in snowsports is desirable, but this is not a strict requirement
